Terms of Service
These terms govern all commercial engagements between DPS Machinery (Suzhou DPS Machinery Equipment Co., Ltd.) and its clients. Please read carefully before placing any order.
Section 01
Cooperation Scope
Who we work with and what we offer
1 Applicable Parties
These Terms apply to all B2B clients, including manufacturers, distributors, trading companies, and procurement agents, who enter into a commercial relationship with Suzhou DPS Machinery Equipment Co., Ltd. (hereinafter "DPS Machinery" or "Supplier") for the purchase of automated packaging and labeling equipment.

CE Certified: All DPS Machinery products comply with applicable EU CE certification standards, ensuring safety and quality for international markets.
Section 02
Order Rules
MOQ, payment terms, and delivery schedules
Minimum Order Quantity
The minimum order quantity is 1 unit per model. DPS Machinery accepts single-unit orders for all standard and custom machinery.
For spare parts and consumables, MOQ and pricing will be specified in the individual quotation or purchase order confirmation.
Bulk orders of 3 units or more may qualify for volume discounts. Contact our sales team for a customized quotation.
Payment Terms
A non-refundable deposit of 30% of the total contract value is required to confirm the order and initiate production. Production commences only upon receipt of this payment.
The remaining 70% balance must be paid in full before the equipment is released from our factory for shipment. Shipping arrangements will be coordinated after payment confirmation.
Payments are accepted via Telegraphic Transfer (T/T) or Letter of Credit (L/C). All bank charges outside China are borne by the buyer. Currency: USD or EUR (as agreed in the contract).
Delivery & Lead Time
Lead times commence from the date of deposit receipt and written order confirmation by DPS Machinery.
Default trade term is EXW Suzhou. FOB Shanghai or CIF destination port terms are available upon request and must be agreed upon in the sales contract.
DPS Machinery shall not be held liable for delays caused by force majeure events, port congestion, customs clearance issues, or circumstances beyond our reasonable control.
Important: An order is only considered confirmed upon receipt of the signed purchase order/contract and the deposit payment. Verbal or email-only commitments without deposit do not constitute a binding order.

Quality & After-Sales
Inspection procedures, warranty coverage, and support
A Pre-Shipment Inspection & Acceptance
Factory Acceptance Test (FAT)
All machines undergo a full Factory Acceptance Test at our Suzhou facility before shipment. Clients are welcome to attend the FAT in person or via video call.
Inspection Upon Receipt
Clients must inspect the equipment within 7 calendar days of receipt. Any visible damage or missing components caused during transit must be reported in writing within this period, accompanied by photographic evidence and the courier's damage report.
Deemed Acceptance
Failure to raise a written objection within the 7-day window shall constitute acceptance of the equipment as delivered, unless a latent defect is discovered and reported within the warranty period.
B Warranty Coverage
Standard Warranty Period
Commencing from the date of shipment from DPS Machinery's factory. Covers manufacturing defects in materials and workmanship under normal operating conditions.
Covered Under Warranty
- Manufacturing defects in mechanical and electrical components
- Free replacement of defective parts (excluding shipping cost)
- Remote technical support via video call or email
- Lifetime technical consultation (post-warranty, free of charge)
Not Covered Under Warranty
- Damage caused by misuse, unauthorized modification, or neglect
- Normal wear and tear of consumable parts (belts, sensors, etc.)
- Damage from improper installation or failure to follow the manual
- Damage caused by power surges, flooding, or force majeure

Priority access to genuine spare parts throughout the machine's lifespan

Lifetime free technical consultation for all purchased equipment
Section 04
Breach of Contract & Dispute Resolution
Liability, remedies, and governing law
A Supplier Breach of Contract
If DPS Machinery fails to deliver the equipment within the agreed delivery period due to reasons attributable solely to the Supplier, the Supplier shall notify the Buyer in writing and negotiate a revised delivery schedule. If delivery is delayed by more than 30 calendar days beyond the agreed date, the Buyer may request a partial refund of the deposit or other remedies as mutually agreed.
If the delivered equipment materially deviates from the agreed technical specifications confirmed in the purchase order, DPS Machinery shall, at its own cost, repair or replace the non-conforming equipment within a reasonable timeframe.
B Buyer Breach of Contract
If the Buyer cancels a confirmed order after production has commenced, the deposit paid shall be forfeited in full as compensation for production costs and resource allocation. Additional costs incurred beyond the deposit amount may be claimed by DPS Machinery.
If the Buyer fails to pay the balance within 15 calendar days after the agreed payment due date, DPS Machinery reserves the right to suspend shipment, retain the equipment, and charge a storage fee of 0.5% of the total contract value per week until full payment is received.
If the Buyer provides incorrect or incomplete technical requirements resulting in manufacturing errors, the cost of modifications or re-production shall be borne by the Buyer.
Limitation of Liability
DPS Machinery's total liability to the Buyer for any claim arising out of or in connection with these Terms shall not exceed the total contract value of the specific order giving rise to the claim. DPS Machinery shall not be liable for indirect, incidental, consequential, or punitive damages, including loss of production, loss of profit, or business interruption.
C Dispute Resolution Process
Friendly Negotiation
Both parties shall first attempt to resolve any dispute amicably within 30 days of written notice.
Mediation
If negotiation fails, parties may seek mediation through a mutually agreed third-party mediator.
Arbitration
Unresolved disputes shall be submitted to Suzhou Arbitration Commission for final binding arbitration.
Governing Law
The laws of the People's Republic of China shall govern these Terms and all related agreements.
Language
In the event of discrepancy between English and Chinese versions of any agreement, the Chinese version shall prevail.
